Terms of Service

1. Agreement to Terms and Formation of Contract

These Terms of Service (hereinafter referred to as "Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity (hereinafter referred to as "you," "your," or "User"), and Linguifai, a software publisher with registered office in Paris, France (hereinafter referred to as "we," "us," "our," or "Linguifai"), concerning your access to and use of the Linguifai desktop application software, associated website, and all related services, features, content, and applications (collectively referred to as the "Service"). By accessing, downloading, installing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, and you further acknowledge that these Terms constitute a binding contract between you and Linguifai with the same force and effect as if you had executed a written agreement.

In the event that you do not agree with any provision of these Terms or do not wish to be bound by them, you are not authorized to access or use the Service and must immediately cease any use thereof and uninstall any software components you may have installed. Linguifai reserves the right to modify, amend, or update these Terms at any time and for any reason, and such modifications shall become effective immediately upon posting of the revised Terms on our website or within the application, unless otherwise specified, and your continued use of the Service following such posting constitutes your acceptance of and agreement to be bound by the modified Terms.

2. Eligibility and Capacity to Contract

The Service is intended solely for use by individuals who are at least eighteen years of age and who possess the legal capacity to enter into binding contracts under applicable law. By using the Service, you represent and warrant that you are at least eighteen years of age, that you have the legal capacity and authority to enter into these Terms and to perform the obligations herein, that you will use the Service in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations, and that all registration information and other information you provide to us is accurate, current, and complete, and that you will maintain the accuracy of such information throughout your use of the Service.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case the terms "you" and "your" shall refer to such entity, and you agree to indemnify and hold harmless Linguifai from any claims arising from your lack of authority to bind such entity.

3. License Options, Pricing Structure, and Payment Terms

3.1 Lifetime License Option

Linguifai offers a perpetual, non-subscription license option (hereinafter "Lifetime License") that may be acquired for a one-time payment of one hundred eighty-nine euros (€189), which license is bound to a single computing device as identified by a unique machine identifier and may not be transferred to any other device without our prior written consent, which consent may be granted or withheld in our sole discretion. The Lifetime License requires that you obtain and maintain your own application programming interface keys from third-party artificial intelligence service providers, specifically Anthropic or OpenAI, and that you bear sole responsibility for all costs and obligations associated with the use of such API keys. The Lifetime License includes all software updates, bug fixes, and feature enhancements released for the major version of the software that you have licensed, but does not guarantee access to future major versions which may be released as separate products, and also includes email-based customer support during business hours subject to reasonable response time expectations.

3.2 Cloud Subscription Option

As an alternative to the Lifetime License, Linguifai offers a monthly subscription service (hereinafter "Cloud Subscription") available for a recurring monthly fee of fifteen euros (€15), which subscription automatically renews at the end of each monthly billing period unless cancelled in accordance with the cancellation procedures set forth herein. The Cloud Subscription permits concurrent use of the Service on up to three separate computing devices associated with your account, provides access to a shared pool of artificial intelligence translation tokens without requiring you to obtain personal API keys from third-party providers, and is subject to fair usage limitations as more fully described in Section 8 of these Terms. The Cloud Subscription includes priority customer support via email and chat during extended business hours, and subscribers benefit from all software updates and new features released during their active subscription period.

3.3 Free Trial Period

Linguifai offers a complimentary trial period of fourteen days duration to new users who have not previously utilized a trial period, during which trial you may access and use the Service without payment and without requirement to provide credit card or other payment information. The trial period is subject to certain limitations including a maximum of one hundred artificial intelligence translation requests, and the trial may only be utilized once per user and once per device. Upon expiration of the trial period, your access to the Service will be automatically suspended unless you have purchased a Lifetime License or activated a Cloud Subscription, and any data or configurations stored in association with your trial account may be deleted after a reasonable grace period.

4. Grant of License and Restrictions on Use

Subject to and conditioned upon your strict compliance with all terms and conditions set forth in these Terms, including without limitation your payment of all applicable fees when due, Linguifai grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Linguifai software on your authorized computing device or devices as specified in your chosen license type, to access and use the Service for your internal business purposes or personal use in accordance with these Terms and any documentation we provide, and to use the artificial intelligence translation features subject to applicable usage limitations and fair use policies. This license grant is personal to you and may not be assigned or transferred to any other person or entity without our express prior written consent.

You acknowledge and agree that the Service, including all software, algorithms, user interfaces, designs, and documentation, contains proprietary and confidential information that is protected by applicable intellectual property and other laws, and you agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the software except to the extent such restriction is expressly prohibited by applicable law. You further agree that you will not rent, lease, lend, sell, redistribute, sublicense, or otherwise transfer or make available the Service or any portion thereof to any third party, that you will not remove, alter, or obscure any proprietary notices including copyright and trademark notices that appear on or in the Service, that you will not use the Service in any manner that violates any applicable laws or regulations or infringes upon the rights of any third party, that you will not share your license key, account credentials, or API keys with any other person or entity, that you will not circumvent or attempt to circumvent any technological protection measures or usage limitations implemented in the Service, and that you will not use the Service to develop, compile, or distribute any product or service that competes with or is substantially similar to Linguifai.

5. Payment Terms, Billing, and Financial Obligations

5.1 Payment Processing and Authorization

All payments for the Service are processed through Stripe, a third-party payment processor that is certified as compliant with the Payment Card Industry Data Security Standard (PCI-DSS), and Linguifai does not directly receive, process, or store complete credit card numbers or other sensitive payment authentication information on our servers. By providing a payment method and authorizing a payment, you represent and warrant that you are authorized to use the designated payment method, you authorize Stripe to charge the applicable fees to your designated payment method in accordance with these Terms and the payment schedule associated with your chosen license type, and you agree to maintain valid and current payment information with Stripe for the duration of your subscription if applicable.

5.2 Subscription Billing and Automatic Renewal

If you have elected to purchase a Cloud Subscription, your subscription will automatically renew at the end of each monthly billing period for successive monthly periods of equal duration unless you cancel the subscription in accordance with Section 7 of these Terms prior to the renewal date. You will be charged the then-current monthly subscription fee on the same calendar day each month as your initial subscription date, or on the last day of the month if your initial subscription date was on a day that does not exist in a given month. Linguifai will make reasonable efforts to notify you via email prior to charging your payment method for a subscription renewal, though failure to receive such notification does not relieve you of your obligation to pay subscription fees or provide you with grounds to dispute the charge.

5.3 Price Modifications and Fee Changes

Linguifai reserves the right to modify the pricing for the Service at any time and for any reason, though we will provide you with advance notice of any price increases in accordance with applicable law and these Terms. For Lifetime License holders, the one-time purchase price is fixed at the time of purchase and will not be subject to retroactive increases. For Cloud Subscription holders, we will provide at least thirty days advance notice of any subscription fee increase via email to the address associated with your account, and such fee increase will take effect on your next billing date following the expiration of the notice period, and you will have the option to cancel your subscription without penalty if you do not wish to pay the increased fee.

5.4 Taxes and Additional Charges

All fees stated in these Terms or on our website are exclusive of any applicable taxes, duties, levies, tariffs, and similar governmental charges (collectively "Taxes"), including without limitation value-added tax, sales tax, use tax, and withholding tax. You are responsible for payment of all Taxes associated with your purchase and use of the Service, except for taxes based on Linguifai's net income, and in the event that Linguifai is required to collect or pay Taxes for which you are responsible, such amounts will be invoiced to and payable by you unless you provide us with valid tax exemption certificates or other documentation demonstrating that such Taxes are not applicable.

5.5 Failed Payments and Consequences of Non-Payment

In the event that a charge to your designated payment method is declined or fails for any reason, Stripe will attempt to process the payment up to three additional times over the following ten days, and we will notify you of the failed payment via email with instructions for updating your payment information. If we are unable to successfully process payment after these attempts, we reserve the right to immediately suspend your access to the Service until payment is received and processed, and we may also terminate your account and license in accordance with Section 7 if payment is not received within thirty days of the initial failed payment attempt, without relieving you of your obligation to pay all fees that accrued prior to termination.

6. Refund Policy and Money-Back Guarantee

6.1 Lifetime License Refund Terms

Linguifai offers a satisfaction guarantee for Lifetime License purchases whereby you may request a full refund of your purchase price if you are not satisfied with the Service, provided that such refund request is submitted within fourteen days of your original purchase date by contacting our support team at support@linguifai.com with your order information. Refund requests must include a brief explanation of the reason for your dissatisfaction, though we do not require detailed justification and will generally honor all refund requests made within the specified period. Upon approval of your refund request, your license will be immediately revoked and you must cease all use of the Service and uninstall all software components, and the refund will be processed to your original payment method within seven to ten business days subject to the processing times of your financial institution.

6.2 Subscription Refund Terms

Cloud Subscription fees are generally non-refundable, reflecting the nature of the Service as immediately accessible upon payment, though you may cancel your subscription at any time in accordance with Section 7 of these Terms, in which case you will retain access to the Service through the end of your current billing period for which you have paid, but will not be charged for subsequent billing periods. No pro-rated refunds will be provided for partial billing periods, and fees paid for the current billing period will not be refunded even if you cancel before the end of such period, except where required by applicable law or in exceptional circumstances at our sole discretion.

6.3 Exceptions to Refund Eligibility

Notwithstanding the foregoing refund provisions, Linguifai reserves the right to deny refund requests in circumstances where you have materially breached these Terms including without limitation engaging in fraudulent activity, excessive usage that violates fair use policies, or unauthorized use of the Service, where you have previously received a refund for a prior purchase of a Linguifai license, where the refund request is made after the expiration of the applicable refund period, or where we have reason to believe that the refund request is being made in bad faith or as part of an attempt to obtain free use of the Service.

7. Cancellation by User and Termination by Linguifai

7.1 User-Initiated Cancellation of Subscription

If you have purchased a Cloud Subscription, you may cancel your subscription at any time by accessing your account settings within the application or on our website and following the cancellation procedures provided therein, or by contacting our support team at support@linguifai.com with a cancellation request. Cancellation takes effect at the end of your current billing period, meaning you will retain full access to the Service through the last day of the billing period for which you have paid, after which your subscription will not renew and you will no longer be charged, though you will lose access to subscription-specific features including the shared AI token pool and multi-device access. No refunds or credits will be provided for any remaining time in your current billing period unless required by applicable law.

7.2 Termination by Linguifai for Cause

Linguifai reserves the right to suspend or terminate your access to the Service, with or without prior notice, if we determine in our sole discretion that you have breached any provision of these Terms including but not limited to unauthorized use of the Service, reverse engineering or attempting to circumvent technical protection measures, sharing your license or account credentials with unauthorized third parties, engaging in any fraudulent activity or providing false information, or using the Service in a manner that violates applicable laws or infringes upon the rights of third parties. We may also suspend or terminate your access if your payment obligations remain unsatisfied after repeated attempts to collect payment, if we are required to do so by law or lawful order of a court or governmental authority, or if we believe in good faith that such action is necessary to protect the security or integrity of the Service or the rights and safety of Linguifai, other users, or third parties. Where reasonably practicable, we will provide advance notice of termination via email to the address associated with your account unless immediate termination is required for legal, security, or operational reasons.

7.3 Effects of Termination and Survival of Terms

Upon termination or expiration of your license or subscription for any reason, your right to access and use the Service immediately ceases, and you must promptly uninstall all copies of the Linguifai software from your computing devices and cease all use of the Service. Termination does not relieve you of any obligations to pay fees that accrued prior to the effective date of termination, and you will remain liable for all charges incurred through the date of termination regardless of whether termination was initiated by you or by us. The provisions of these Terms that by their nature should survive termination shall survive, including without limitation the provisions concerning intellectual property rights, warranties disclaimers, limitations of liability, indemnification obligations, governing law, and dispute resolution.

8. Fair Usage Policy for Shared AI Translation Services

The Cloud Subscription includes access to a shared pool of artificial intelligence translation tokens provided through our accounts with third-party AI service providers, which shared resource is made available to all Cloud Subscription users on a fair usage basis to ensure equitable access and prevent abuse that could degrade service quality for other users. Fair usage is defined as usage patterns consistent with normal operation of the Service for legitimate translation purposes, and specifically includes a monthly limitation of one million AI tokens per user account, which translates to approximately ten thousand to twenty thousand individual translation strings depending on string length and complexity, as well as a rate limitation of one hundred translation requests per hour to prevent automated or bulk processing that could overwhelm our infrastructure.

Linguifai continuously monitors usage patterns to detect anomalous or abusive behavior including but not limited to automated scripting, bulk processing beyond normal usage, intentional circumvention of rate limits, or use of the Service to provide translation services to third parties, and we reserve the right to temporarily throttle or suspend access for users who exceed fair usage limits or engage in abusive patterns. If you consistently require usage levels beyond these fair usage limits due to legitimate business needs, we encourage you to contact us to discuss enterprise licensing options or to consider using your own API keys with a Lifetime License, which provides unlimited usage subject only to the limits imposed by your AI provider.

9. Intellectual Property Rights and Ownership

9.1 Linguifai's Intellectual Property

The Service, including without limitation the Linguifai software, website, user interfaces, visual designs, graphics, logos, trademarks, service marks, trade names, and all other content, materials, and intellectual property embodied therein or made available through the Service (collectively "Linguifai IP"), is owned by Linguifai or our licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of France, the European Union, and other jurisdictions. All rights, title, and interest in and to the Linguifai IP remain with Linguifai or our licensors, and no rights are granted to you other than the limited license to use the Service as expressly set forth in Section 4 of these Terms, and nothing in these Terms shall be construed as conveying any ownership interest or license rights beyond those expressly granted.

9.2 User Content and Grant of License

You retain all ownership rights in and to your translation files, project content, source code, and any other materials or data that you create, upload, or process through the Service (collectively "User Content"), and Linguifai makes no claim of ownership over your User Content. However, by using the Service and specifically by using AI translation features that process your User Content, you grant to Linguifai a limited, non-exclusive, royalty-free, worldwide license to use, reproduce, process, and transmit your User Content solely to the extent necessary to provide the Service to you, including without limitation transmitting your content to third-party AI service providers for translation processing, though such license terminates upon deletion of your content or termination of your use of the Service except to the extent we are required to retain certain data to comply with legal obligations.

9.3 Feedback and Suggestions

In the event that you provide any suggestions, comments, feedback, ideas, or other input regarding the Service or any improvements or modifications thereto (collectively "Feedback"), you acknowledge and agree that Linguifai shall be free to use, disclose, reproduce, license, and otherwise distribute and exploit such Feedback in any manner and for any purpose without any obligation, royalty, or restriction based on intellectual property rights or otherwise, and you hereby irrevocably assign to Linguifai all right, title, and interest in and to the Feedback and waive any moral rights or attribution rights you may have in such Feedback.

10. Third-Party Services and External Links

The Service integrates with and relies upon certain third-party services and platforms to provide functionality, including specifically artificial intelligence translation services provided by Anthropic Inc. and OpenAI, L.P., payment processing services provided by Stripe, Inc., and potentially other third-party services for analytics, infrastructure, or other purposes. Your use of these third-party services through Linguifai is subject to the respective terms of service and privacy policies of such third-party providers, including without limitation the Anthropic Commercial Terms of Service available at anthropic.com, the OpenAI Terms of Use available at openai.com/policies/terms-of-use, and the Stripe Services Agreement available at stripe.com/legal/ssa, and you acknowledge that you have reviewed and agree to be bound by such third-party terms to the extent applicable to your use of the Service.

Linguifai makes no representations or warranties regarding third-party services and expressly disclaims any responsibility or liability for the availability, functionality, content, or practices of such third-party services, and we are not responsible for any loss or damage that may result from your reliance on or use of such third-party services. The Service may also contain links to third-party websites or resources, and such links are provided solely for your convenience and do not constitute an endorsement by Linguifai of such third-party websites or resources, and we are not responsible for the content, products, services, or practices of any third-party websites.

11. Data Protection and Privacy Obligations

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference and which sets forth how we collect, use, disclose, and protect your personal data in accordance with the General Data Protection Regulation and applicable French data protection laws. The Privacy Policy is available at linguifai.com/privacy and we encourage you to review it carefully to understand our data practices. We particularly emphasize that Linguifai has been designed as a local-first application wherein your translation files and project content remain stored exclusively on your computing device and are never uploaded to our servers unless you explicitly elect to use cloud-based features, that we do not collect or store your translation content except as necessary to provide the Service when using shared AI account features and subject to immediate deletion after processing, that all data transmission between your device and our servers or third-party services is encrypted using industry-standard protocols, and that we implement comprehensive security measures to protect the confidentiality, integrity, and availability of any personal data we process.

12. Disclaimers of Warranties and Representations

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, AND LINGUIFAI EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AS WELL AS WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. Linguifai makes no warranty that the Service will meet your requirements or expectations, that the Service will be uninterrupted, timely, secure, or error-free, that any errors or defects in the Service will be corrected, that the Service will be free from viruses or other harmful components, or that any data or content transmitted through the Service will be accurate, complete, or reliable.

You specifically acknowledge and agree that artificial intelligence translations generated through the Service are produced by automated systems and may contain errors, inaccuracies, inconsistencies, inappropriate content, or other defects, and that Linguifai makes no warranty regarding the accuracy, quality, appropriateness, or fitness for any particular purpose of any translations generated by AI services. You are solely responsible for reviewing, verifying, and validating all translations before using them in production environments, and you assume all risk associated with reliance on AI-generated translations.

The disclaimers set forth in this Section 12 apply to the maximum extent permitted by applicable law, and some jurisdictions do not allow the exclusion of certain warranties, in which case some of the above exclusions may not apply to you and you may have additional rights, though such warranties shall be limited to the minimum extent and duration required by applicable law.

13. Limitation of Liability and Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LINGUIFAI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, USE, OR DATA, OR FOR BUSINESS INTERRUPTION, EVEN IF LINGUIFAI HAS BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER SUCH DAMAGES ARISE FROM CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

Without limiting the generality of the foregoing, Linguifai shall not be liable for any damages or losses arising from or related to errors, inaccuracies, or defects in AI-generated translations, unauthorized access to or disclosure of your data or communications, interruption or cessation of the Service or transmission of data, bugs, viruses, or other harmful code that may be transmitted through the Service, actions or omissions of third-party service providers including AI providers and payment processors, your reliance on or use of content or data obtained through the Service, or your failure to maintain adequate security of your computing devices or protect the confidentiality of your credentials.

Notwithstanding any other provision of these Terms, Linguifai's total aggregate liability to you for all claims arising from or related to your use of the Service, whether in contract, tort, or otherwise, shall not exceed the greater of (a) the total amount of fees actually paid by you to Linguifai in the twelve months immediately preceding the event giving rise to liability, or (b) one hundred euros (€100). For users who have purchased a Lifetime License, the maximum aggregate liability shall not exceed the purchase price actually paid for such license. These limitations shall apply even if any limited remedy set forth herein is found to have failed of its essential purpose.

14. Indemnification Obligations

You agree to indemnify, defend, and hold harmless Linguifai, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or relating to your use or misuse of the Service, your breach of these Terms or any representation or warranty contained herein, your violation of any applicable laws or regulations, your violation of any rights of any third party including intellectual property rights or privacy rights, any User Content that you submit or transmit through the Service, or any act or omission by you in connection with the Service. Linguifai reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Linguifai in asserting any available defenses and in the conduct of such defense.

15. Governing Law, Jurisdiction, and Dispute Resolution

15.1 Applicable Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of France, without giving effect to any choice of law or conflict of law provisions that would cause the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

15.2 Informal Dispute Resolution

In the interest of resolving disputes efficiently and cost-effectively, you and Linguifai agree that before either party commences any formal legal proceedings (except for claims seeking emergency injunctive relief), we will attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service informally by contacting each other and attempting to reach a mutually satisfactory resolution. You may contact us at support@linguifai.com with a detailed description of the dispute, and we will respond within fifteen business days with our proposed resolution or an explanation of why we believe no resolution is warranted. If the dispute cannot be resolved through informal negotiations within thirty days of the initial notice, either party may proceed with formal dispute resolution.

15.3 Jurisdiction and Venue

Subject to the informal dispute resolution process described above, you and Linguifai agree that any legal action, suit, or proceeding arising out of or relating to these Terms or the Service must be brought exclusively in the competent courts located in Paris, France, and both parties irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue in such courts on the grounds of inconvenient forum or otherwise. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

16. Modifications to Terms of Service

Linguifai reserves the right to modify, amend, or update these Terms at any time in our sole discretion, and such modifications will become effective immediately upon posting of the revised Terms on our website or within the application, or on such later date as may be specified in the revised Terms. We will make reasonable efforts to notify you of material changes to these Terms by posting a notice on our website, sending an email to the address associated with your account, or displaying a notification within the application, and we will provide at least thirty days advance notice of changes that materially reduce your rights or impose new obligations upon you. Your continued use of the Service following the effective date of modified Terms constitutes your acceptance of and agreement to be bound by such modified Terms. If you do not agree to modified Terms, your sole remedy is to discontinue use of the Service and terminate your account in accordance with Section 7.

17. General Provisions and Miscellaneous Terms

17.1 Entire Agreement and Integration

These Terms, together with our Privacy Policy and any other agreements or policies expressly incorporated by reference herein, constitute the entire agreement between you and Linguifai concerning the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Linguifai with respect to the Service. In the event of any conflict between these Terms and any other agreement or policy, these Terms shall control unless the other agreement expressly states that it supersedes these Terms.

17.2 Severability and Construction
